1. Infrastructure software
Referral API is business infrastructure software provided by Scalith, LLC. It helps Customers capture referral attribution, process reported events, apply Customer-configured rules, calculate and report commissions, and reconcile payout records. It is a tool used by the Customer and does not replace the Customer’s judgment, controls, records, or legal responsibilities.
2. No professional advice
Nothing in the Services, documentation, examples, reports, messages, or support is legal, tax, accounting, investment, financial, employment, insurance, regulatory, or other professional advice. No professional-client relationship is created. Customers must obtain qualified advice appropriate to their business, program, location, and participants.
3. No financial or payout role
Scalith is not a bank, payment institution, money transmitter, escrow service, broker, fiduciary, employer, affiliate network, payroll provider, tax preparer, or payout executor. Scalith does not hold, custody, transfer, transmit, or pay Customer or referrer funds.
Customers alone are responsible for determining entitlement, approving amounts, funding and sending payouts, resolving participant disputes, issuing required tax forms, withholding amounts, screening recipients, and complying with financial, employment, consumer, advertising, and other applicable law.
4. Customer data and configuration
Attribution, conversion, subscription, payment-status, refund, chargeback, exchange-rate normalization, commission, balance, payout, recovery, and reconciliation output depends on information and rules supplied or selected by the Customer and on the timing and reliability of its integrations. Missing, delayed, duplicated, inaccurate, or inconsistent Customer data may produce incomplete or incorrect output.
Scalith does not independently verify every transaction, identity, referral relationship, legal entitlement, currency value, tax status, or Customer promise represented in Customer Data.
5. Independent verification
Customers must independently review and verify attribution, reports, commission entries, reversals, balances, payout files, and reconciliation results before paying a referrer, communicating an entitlement, recording financial information, filing a return, or making a business decision. An export, dashboard value, API response, or calculated amount is not an instruction to transfer money.
6. No guaranteed results
Scalith does not guarantee revenue, growth, referrals, conversions, subscriptions, payments, retention, commissions, payout recovery, profitability, savings, legal compliance, or any other business result. Examples, estimates, demonstrations, documentation, or past performance do not promise future performance.
7. Availability and errors
The Services may experience delays, interruptions, maintenance, capacity constraints, security restrictions, errors, incomplete data, or unavailable features. Data transmission and external events may be delayed or lost. Scalith does not promise uninterrupted or error-free operation, perfect attribution, perfect reconciliation, or recovery of every record.
8. External systems and links
Customer integrations and the Services may depend on external systems, networks, data sources, or websites that Scalith does not control. Scalith is not responsible for their terms, security, availability, accuracy, conduct, changes, or failures. A link or integration does not constitute endorsement or a guarantee.
9. Documentation and examples
Documentation, sample payloads, code, scenarios, calculations, and support explanations are illustrative. Customers must adapt them to their own systems and independently test their implementation. They do not create a warranty, service level, fiduciary duty, or professional obligation.
10. Beta and preview features
Beta, preview, early-access, experimental, or evaluation functionality may be incomplete, change without notice, contain more errors, or be withdrawn. It should not be used for critical obligations unless Customer accepts those risks and maintains suitable independent controls and records.
11. Business risk and controlling terms
Customer uses the Services at its own business risk. This Disclaimer supplements the Terms and Conditions. The Terms’ warranty disclaimers, liability limitations, indemnification, arbitration, and governing-law provisions control. Nothing here excludes a responsibility that applicable law does not permit the parties to exclude.
